North Dakota Business Registration

North Dakota’s business entities are subjected to 4.31% of the corporate tax rate

Words such as “Limited Liability Company,” “LLC” or “L.L.C.” must be at the end of the LLC name.

The proposed name may not contain words suggesting the incorporated LLC for purposes not outlined in the Articles of Organization

Unless consent is given, the proposed name may not be the same or similar to the name of a domestic or foreign LLC, limited partnership, corporation, trade name, reserved name, or registered name.

Words or abbreviations of, such as “Corporation,” “Incorporated,” “ Limited” or “Company” must be included in the corporation name.

The proposed name must be in English or other languages expressed in English letters or characters.

The proposed name may not contain words suggesting the incorporated corporation for purposes not outlined in the Articles of Incorporation

LLCs must have at least one or more managers/members

Age and residency requirements for managers/members are not required in the North Dakota

The names and addresses of the managers/members do not need to be listed in the Articles of Organization

The minimum required number of directors/shareholders for corporations is one or more. 

Requirements of residency and age are not required for the directors/shareholders for North Dakota corporations.

The names and addresses do not need to be listed in the Articles of Incorporation.

Annual Report: 

LLCs are required to file the report due on November 15th.

State tax identification number is not required in North Dakota.

Registered Agent:

The registered agent’s name and physical address must be listed with the normal business hours to accept important documents from the government.

Employer Identification Number (EIN):

Banks required an EIN from the LLCs when opening a business bank account. LLCs with employees also require an EIN.

Annual Report: 

Corporations require to file the report due on August 1st.

Stock: 

In the Articles of Incorporation must list the authorized shares and par value.

Registered Agent:

The registered agent’s name and physical address must be listed with the normal business hours to accept important documents from the government.

Banks required an EIN from the Corporation when opening a business bank account. Corporation with employees also require an EIN.
